STANDARD TERMS.

Clear, honest, and professional. These terms define our partnership to ensure long-term digital dominance for your business.
1. Acceptance of Terms
By approving a quotation and making payment for an initial deposit or Setup Fee invoice, you (the “Client”) are formally entering into a service agreement with LZW Digital (the “Provider”) and agree to be bound by the terms and conditions outlined below.
2. Service Pillars & Scope
We provide a comprehensive digital ecosystem. The specific scope of your project is defined in your individual quotation, but generally covers:
- Managed Website Services: Provision of WordPress or HTML architecture under a managed usage license, including secure UK hosting, SSL, and weekly backups.
- Google Business Profile (GBP): Relentless optimization of your map presence for local search intent.
- Social Media Retainer: A professional resource allocation. Fees remain due in full regardless of Client content provision.
- Maintenance: Management fees include “Minor Updates” (small text/image swaps). Structural changes or new features are quoted separately.
3. Fees & Renewals
One-Time Fees
Setup Fees are one-time, non-refundable payments required to commence any project and allocate technical resources.
The “Month 11” Rule
To ensure zero service interruption for your brand, fees for SSL certificates and Domain renewals (where managed by LZW Digital) are due in Month 11 of your annual cycle.
Arrears & Suspensions
- 7 Days Late: LZW Digital reserves the right to suspend access to digital services (e.g., via a holding page).
- 21 Days Late: Services may be taken offline entirely. A reconnection fee will apply to restore access.
4. IP Assets & Managed Licensing
This section defines the ownership of the digital assets created during our partnership.
Managed Technical Engine
All website structural designs, custom code, and LZW frameworks remain the Intellectual Property of LZW Digital. The Client is granted a managed usage license for the duration of an active paid subscription. This ensures your site remains secure, updated, and high-performance.
Client Ownership
The Client retains 100% ownership of all provided logos, text, and media assets. Your brand, your photos, and your customers always belong to you.
Branding Transfer
Ownership of the final approved logo transfers to the Client upon full payment of the Setup Fee. All preliminary drafts and rejected concepts remain the property of LZW Digital.
5. Cancellation & Handover
We believe in results-driven partnerships, not long-term handcuffs. However, an orderly exit is required to protect your data:
- Notice Period: Minimum 30 days’ written notice is required to terminate any recurring management or hosting service.
- Handover: Upon termination and payment of all outstanding fees (including a Handover Fee), LZW Digital will provide standard exports of website content.
- Account Access: Administrative access to third-party platforms (GBP, Social Media) is removed upon cancellation. The Client is responsible for securing these accounts thereafter.
6. Liability & Responsibility
LZW Digital is your technical partner, but the Client remains the final authority on their brand representation. You are responsible for proofreading, asset copyright compliance, and meeting project feedback deadlines.
LZW Digital is not liable for loss of earnings resulting from server outages, technical failures, or changes made by third-party platforms (e.g., Google, Meta, or WordPress).
